Acceptance of Terms
Welcome to Haven Space. By accessing or using our platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.
These Terms govern your use of all services offered by Haven Space, including but not limited to property listings, booking management, payment processing, and messaging features.
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our platform and updating the "Last updated" date. Your continued use of our services after such modifications constitutes your acceptance of the revised Terms.
Fees and Renewals
Pricing for Paid Accounts will be provided at the time of purchase. Unless otherwise set out at the time of purchase or as agreed to by Haven Space, fees for a Paid Account will be billed in advance for each year and are non-refundable. There will be no refunds or credits for partial months of service or for periods in which your Paid Account remains open but you do not use the Service.
We reserve the right to modify our billing rates at any time upon thirty (30) days written notice by posting such fee changes to the Service or through email notification to you. You will be liable to pay such modified billing rates.
Subject to your payment of applicable fees for a Paid Account, we will provide the Service to you for the period of time that you have paid for such Service (the "Subscription Period"). At the end of the Subscription Period, your Paid Account subscription will automatically renew for an additional Subscription Period until it is expressly canceled by you as described in the "Termination" section below.
If you purchase any fee-based Service, you agree that our third party payment gateways, such as Stripe and PayPal, may store your credit or charge card or other payment information. You expressly agree that we are authorized to charge you (i) a fee for any applicable Service for which you have subscribed, billed on a basis of the Subscription Period, (ii) any other fees for the Service you may purchase, (iii) any charges for use of the Service in excess of the usage limits, and (iv) any fees or charges associated with your use of the Service.
Your Responsibilities
As a user of Haven Space, you agree to:
(a) Provide accurate information: You must provide accurate, current, and complete information during the registration process and keep your account information updated.
(b) Maintain account security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
(c) Comply with applicable laws: You agree to comply with all applicable local, state, national, and foreign laws, treaties, and regulations in connection with your use of the Service.
(d) Use the service responsibly: You agree not to (i) upload, post, email, transmit or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable; (ii) impersonate any person or entity; (iii) forge headers or otherwise manipulate identifiers to disguise the origin of any content; (iv) upload, post, email, transmit or otherwise make available any content that you do not have a right to make available; (v) upload, post, email, transmit or otherwise make available any content that infringes any patent, trademark, copyright, trade secret, or other proprietary right of any party.
Termination
You may terminate your account at any time by following the instructions on our platform. Upon termination, your right to use the Service will immediately cease.
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
Upon termination, all provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Haven Space and its licensors. The Service is protected by copyright, trademark, and other laws of both the Philippines and foreign countries.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Haven Space.
You retain all rights to any content you submit, post, or display on or through the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with the Service.
Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. HAVEN SPACE MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THEIR SERVICES OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON THIS SITE.
TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, HAVEN SPACE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
HAVEN SPACE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; NOR DOES HAVEN SPACE MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE.
Limitation of Liability
IN NO EVENT SHALL HAVEN SPACE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SERVICE, WITH THE DELAY OR INABILITY TO USE THE SERVICE, OR FOR ANY INFORMATION, CONTENT, MATERIALS, PRODUCTS, OR SERVICES OBTAINED THROUGH THE SERVICE.
IN NO EVENT SHALL HAVEN SPACE'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU TO HAVEN SPACE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the courts located in the Philippines. You consent to the jurisdiction of such courts and waive any objection to venue in such courts.
If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
